NOLLIE CRM PILOT PROGRAM TERMS

By accepting these Pilot Program Terms during onboarding, you acknowledge and agree to participate in Nollie's CRM software pilot program under the following conditions:

1. PILOT SOFTWARE ACCESS

You acknowledge that:

  • You are participating in a pilot program for Nollie's CRM software ("Software")
  • The Software is not otherwise commercially available and is provided exclusively for pilot testing purposes
  • The Software may contain pre-release features, functionality, and content that are confidential and proprietary to Nollie Pte Ltd ("Nollie")

2. CONFIDENTIALITY

You agree to:

  • Maintain strict confidentiality regarding all pre-release features, functionality, and capabilities of the Software
  • Not disclose, discuss, or share any confidential information about the Software with third parties without Nollie's prior written consent
  • Use the Software solely for the purposes of your business operations and pilot feedback

3. FEEDBACK AND COLLABORATION

You agree to:

  • Make yourself reasonably available for feedback sessions, interviews, and user research activities as requested by Nollie
  • Provide honest and constructive feedback about your experience using the Software
  • Participate in reasonable testing activities and provide usage data to help improve the Software

4. STANDARD TERMS AND CONDITIONS

Except as specifically modified by these Pilot Program Terms, you agree to adhere to Nollie's standard Terms and Conditions of service. The provision of free pilot access does not modify any other obligations under those terms.

5. MARKETING AND PROMOTIONAL RIGHTS

By accepting these terms, you agree and represent to Nollie as follows:

  1. You have reached the legal age to form a binding contract with Nollie in your jurisdiction of residence;

  2. You hereby give Nollie (including without limitation its representatives, employees, agents and sub-licensees) permission, irrevocably, worldwide and in perpetuity, to reproduce, copy, publish, broadcast, communicate to the public by telecommunications, make available and otherwise use:

    • Your name, business name, logo, and likeness
    • Comments, testimonials, reviews, and other statements that you provide via email, social media, or any other medium
    • Any other content that you may provide to Nollie (in part, as is, as may be edited, or in whole) (collectively, "Content")
    • To create materials that advertise or promote Nollie or any of its products (collectively, with the Content, the "Materials")
    • The Materials in any type of media (including without limitation digital media, social media platforms and networks, print media and multimedia presentations)
  3. Prior Approval: Notwithstanding the above, Nollie agrees to seek your approval before using your brand, quotes, or imagery for external marketing purposes;

  4. You represent and warrant that any comments, testimonials or other statements you make reflect your true and honest opinions and are based upon your own experiences;

  5. You acknowledge that you will receive no compensation from Nollie other than the free pilot access and any goodwill and publicity that you may receive;

  6. You acknowledge that Nollie:

    • Will be under no obligation to actually use the Materials
    • Has the right to use the Materials either with or without your name
  7. You agree to release, indemnify, and hold harmless Nollie, its officers, directors, employees, representatives, agents and sub-licensees from and against any claims, damages or liability arising from or related to the use of the Materials.

6. SMS SERVICES

Should you elect to use SMS functionality within the Software, you acknowledge and agree that:

  • You will be responsible for all external SMS costs and charges
  • Such costs are separate from the pilot program and will be billed according to Nollie's standard SMS pricing
  • SMS usage is subject to Nollie's SMS terms and acceptable use policies

7. DATA AND PRIVACY

You acknowledge that:

  • Your use of the Software and any customer data processed through it remains subject to Nollie's Privacy Policy and Data Processing Agreement
  • All data ownership rights remain with you
  • Nollie will handle all data in accordance with applicable privacy laws and regulations

8. PILOT DURATION

This pilot program will run for a period of 12 months from the date you accept these terms, unless terminated earlier in accordance with the termination provisions below.

9. TERMINATION

Either you or Nollie may terminate your pilot participation at any time by email notification to support@nollie.com. Upon termination:

  • You will have 7 days to complete any active campaigns and export your data
  • Your access to the Software will cease after the 7-day wind-down period
  • Confidentiality obligations will survive termination indefinitely
  • Marketing rights granted herein will remain in effect unless specifically revoked in writing by you

10. GOVERNING LAW AND DISPUTES

These terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the Singapore courts, provided that Australian law may be applied to matters specifically relating to Australian participants where appropriate.

11. CHANGES TO THESE TERMS

Nollie reserves the right to modify these Pilot Program Terms at any time. If changes are made, we will notify you via email and update the "Last Updated" date above. Your continued use of the Software after such modifications constitutes acceptance of the updated terms.
